Terms of service

The agreement between VendorDue and the stores, teams and vendors who use it.

1. The agreement

These terms are an agreement between VendorDue ("VendorDue", "we", "us") and you. They apply to the VendorDue app inside Shopify Admin, the website at vendordue.com, and everything they offer (the "service").

  • Stores. When a store installs or uses VendorDue, the business that owns the store (the "merchant") agrees to these terms. The person who installs VendorDue confirms they may bind that business.
  • A store's team. Staff and collaborators use VendorDue on the merchant's behalf and follow these terms while they do.
  • Vendors. A vendor who accepts a store's invitation or signs in agrees to these terms, including section 6.

Our privacy policy explains how we handle personal information, and our data processing addendum is part of these terms. If you do not agree to them, do not use VendorDue.

2. What VendorDue does

VendorDue reads a store's orders, refunds and products from Shopify, works out what each sale earned each vendor under the consignor rates the store sets, publishes payouts, and keeps the record of every rate, refund, adjustment, charge and payment: every change with its date, and every correction with its reason. It only ever reads from Shopify; it never changes the store.

We improve VendorDue continually, so features change. If we remove something a store relies on, we tell the store first and give it time to download what it needs.

3. VendorDue does not move money or give advice

  • VendorDue is not a bank, a payment service, a money transmitter or an escrow agent, and it never holds anyone's money.
  • When a store connects its own PayPal account and presses Send now, PayPal moves the money from the store's PayPal balance, under PayPal's terms. VendorDue asks PayPal to send it and records what happened, but is not a party to the payment.
  • A payment recorded by hand is the store's statement that it paid. VendorDue records it; it does not check it with a bank.
  • The agreement between a store and each vendor is theirs. VendorDue is not a party to it and does not decide disputes under it.
  • VendorDue calculates from the consignor rates and settings the store chose and the data Shopify provides. The store is responsible for choosing them correctly, for checking a payout before it relies on it or pays it, and for its own taxes and records.
  • Nothing in VendorDue is accounting, tax, legal or financial advice.

4. Accounts and security

Keep your sign-in methods to yourself and tell us straight away at support@vendordue.com if you think someone else has used your account. You are responsible for what happens under your account until you tell us.

A store's admins decide who on the team can use VendorDue and what each person can do. Some actions, such as sending a payment, connecting PayPal or deleting a workspace, ask you to prove who you are first. We may add such steps to protect you.

5. Your data

A store's records belong to the merchant. The merchant gives us permission to host, copy, process and show them only as needed to provide and support the service, and our data processing addendum governs how. We do not sell them, and we do not use them for anything else.

The merchant confirms that it may give us the personal information it puts in VendorDue, such as its vendors' contact details, and that it has told those people what it needs to about how their information is used, including by VendorDue.

A store's admins can download a copy of the workspace and delete it in Settings, under Data and privacy. A deletion can be undone for 48 hours; after that the workspace is erased as the privacy policy describes, and cannot be brought back.

We may use information that identifies no store or person, such as how many payouts VendorDue published in a month, to run and improve the service.

6. For vendors

  • A store gives you access to your records with it, and the store can pause or remove that access.
  • Your payouts and payments are the store's record of what it owes and paid you. Take a question about an amount to the store; VendorDue shows you how each figure was worked out, but the store decides.
  • Keep your payout address correct. A change waits 48 hours before it is used, and we email you about it, so you can stop a change you did not make.
  • If the store deletes its workspace or leaves VendorDue, your records with that store are erased with it. Download what you need while you have access.

7. Acceptable use

Do not use VendorDue to, or try to:

  • break the law or anyone's rights;
  • put in anything you do not have the right to share, or anything harmful such as malware;
  • get into an account, store or record that is not yours, or test, probe or get around our security, except as our security page allows;
  • overload the service, or copy it or its data by automated means;
  • copy, sell or resell the service, or take it apart to learn how it works, except where the law allows it;
  • send spam or messages a vendor has not agreed to;
  • record payments for goods or services that Shopify's or PayPal's rules forbid.

8. Plans, trials and billing

  • VendorDue's plans and prices are shown on Shopify's plan page for VendorDue and at vendordue.com/pricing. Shopify bills them with the store's Shopify bill, in US dollars, plus any tax.
  • A free trial, where offered, is counted by Shopify per store and does not start again if the store reinstalls.
  • A store can change plan at any time from Settings in VendorDue or from Shopify. Shopify charges or credits the difference for the rest of the billing period.
  • A store ends its plan by uninstalling VendorDue or deleting its workspace. Shopify stops the charges; the period already paid is not refunded, unless the law requires it or the charge was our mistake.
  • We tell stores at least 30 days before a price they pay goes up.
  • If a store has no plan once one is required, or has more vendors than its plan covers for more than 14 days, VendorDue keeps recording every sale and keeps what vendors can see, but landing payouts and recording or sending payments wait until the plan covers the store. It tells the store when the 14 days start.

9. What is ours

VendorDue, its software, design and content belong to us. While you use the service under these terms we give you a personal, non-exclusive, non-transferable right to use it for your business.

If you send us ideas or feedback, we may use them freely and owe you nothing for them.

10. Other services

VendorDue depends on Shopify, PayPal and the providers named in our privacy policy. Their own terms apply to your use of them, and we are not responsible for what they do or for their outages. If Shopify or PayPal changes what it allows, a feature that depends on it may change or stop.

11. Availability

We work to keep VendorDue running and fast, but we do not promise it will always be available or free of errors. We may pause it briefly for maintenance or to protect it. A feature we label as a preview may change or end without notice.

12. Suspension and ending

A store can stop using VendorDue at any time by uninstalling it or deleting its workspace.

We may suspend or end access for a store or person who breaks these terms, puts the service or others at risk, does not pay, or when the law requires us to. We tell you first and explain why when we can, unless doing so would put someone at risk or break the law. A suspended store can still contact support.

When a store leaves, its data is erased as the privacy policy describes. Sections 3, 5, 9 and 13 to 18 continue to apply after the agreement ends.

13. Disclaimers

Apart from what these terms say, VendorDue is provided as it is and as available. To the extent the law allows, we make no other promises, including that it is fit for a particular purpose, that it will meet every need, or that every figure it shows is free of errors when the settings or data behind it are wrong.

14. Limits on liability

To the extent the law allows:

  • neither side is liable to the other for lost profits, revenue, goodwill or data, or for indirect, special or consequential losses;
  • our total liability for all claims about VendorDue is limited to what the store paid for VendorDue in the 12 months before the first claim, or US$100 if it paid nothing.

These limits do not apply to liability that cannot be limited by law, such as for fraud.

15. Claims about your use

The merchant will defend VendorDue against claims by third parties, and pay what a court or settlement it agrees to requires, where the claim comes from the store's data, its dealings with its vendors (including what it paid them and its taxes), or its breach of these terms or the law.

16. Governing law and disputes

If something goes wrong, write to us first at support@vendordue.com and we will try to settle it within 30 days.

These terms are governed by the laws of India, and the courts of India decide any dispute about them. Either side may still ask any competent court for urgent relief to protect its data, security or intellectual property.

17. Changes to these terms

When we change these terms the date at the top changes. For a change that matters to how you use VendorDue we tell store owners by email or in the app at least 14 days before it takes effect. Continuing to use VendorDue after that means you accept the change; if you do not, stop using it and we will help you take your data with you.

18. General

  • These terms, the privacy policy and the data processing addendum are the whole agreement about VendorDue.
  • If a part of them cannot be enforced, the rest still applies. Not enforcing a part is not giving it up.
  • You may not transfer this agreement without our written consent. We may transfer it to whoever takes over VendorDue, and will tell you.
  • Neither side is responsible for delays caused by events it cannot reasonably control.
  • We send notices to the store owner's email or in the app; you send them to support@vendordue.com.
  • If a translation of these terms differs from the English, the English applies.
